Terms of Service

Please read these Terms of Service (“Terms”) and our Privacy Policy carefully. These documents govern your use of the TikTrix Labs platform, including our website, user interface, and any other services we provide (collectively, the “Platform”). Through our interface, users can interact with decentralized protocols (the “Protocol”) maintained by third-party open-source communities, enabling activities such as the creation and trade of NFTs and decentralized gaming experiences.

Notice of Arbitration

By accepting these Terms, you agree to resolve all disputes with TikTrix Labs through binding individual arbitration, rather than in court, with certain exceptions outlined in Section 16 (“Dispute Resolution”). If you reside in a jurisdiction where arbitration agreements are prohibited, this clause will not apply to you, but the provisions under Section 15 (“Governing Law and Forum Selection”) will still be enforceable.

1. Agreement to Terms

By using our interface, you agree to be bound by these Terms. If you do not agree, you must stop using the Platform immediately.

2. Privacy Policy

Please review our Privacy Policy to understand how we collect, use, and share your information while using the Platform.

3. Modifications to Terms or Services

We reserve the right to update these Terms at our discretion. If we make changes, we may notify you by posting the revised Terms on our site or through other communication methods. Continued use of the Platform after any updates means you accept the new Terms. If you do not agree with the changes, you must stop using the Platform.

4. Eligibility

• You are at least 18 years old and have the legal capacity to enter into a binding agreement.
• You are not a resident, citizen, or entity located in or established within restricted territories, including but not limited to Cuba, Iran, North Korea, Syria, Belarus, Russia, or any sanctioned regions such as Crimea, Luhansk, Donetsk, Zaporizhzhia, or Kherson.
• You are not listed on any sanctions list maintained by the U.S., U.N., or the European Union.
• You will not use VPNs or other tools to circumvent restrictions on access to the Platform.

5. Fees and Taxes

You are responsible for all applicable fees and taxes resulting from your use of the Platform. This includes transaction fees (such as gas fees for blockchain transactions) and any taxes required by law. TikTrix Labs may report activity to tax authorities as required by law.

6. Testnet Environment

• The Testnet is experimental and may contain bugs or design flaws.
• Testnet tokens have no monetary value and cannot be exchanged for real currency or goods.
• TikTrix Labs is not obligated to maintain Testnet access and can discontinue it at any time without notice.
• Testnet tokens cannot be transferred or traded outside the Testnet environment.

7. Intellectual Property

All content and materials on the Platform are protected by intellectual property laws. You may not reproduce, modify, or distribute any of our content without permission. TikTrix Labs welcomes feedback and suggestions, but we may use them without restriction or obligation to you.

8. Prohibited Activities

• Engage in unauthorized access, hacking, or denial-of-service attacks against the Platform or Protocol.
• Use bots or automated tools to access or scrape content from the Platform.
• Circumvent or disable security features of the Platform.
• Impersonate others or provide false information.
• Create counterfeit digital assets or manipulate transactions.
• Participate in illegal activities, including money laundering or fraud.
• Use the Platform to violate sanctions or regulations imposed by the U.S., U.N., or other authorities.

9. Termination

We may suspend or terminate your access to the Platform without notice if you violate these Terms. You may also cancel your account by contacting us at contact@tiktrix.gg. Upon termination, you are not entitled to refunds for any fees paid.

10. Third-Party Links

The Platform may contain links to third-party resources for convenience. We do not endorse or assume responsibility for any third-party content, products, or services. Use of these resources is at your own risk.

11. Limitation of Liability

To the fullest extent permitted by law, TikTrix Labs is not liable for any losses or damages, including lost profits, data breaches, or unauthorized access resulting from your use of the Platform. In no event shall TikTrix Labs’ total liability exceed $100 or the amount you paid for using the Platform.

12. No Warranty

The Platform is provided “as-is” without any warranties, express or implied. We do not guarantee that the Platform will be error-free, secure, or meet your requirements.

13. Risk Disclosure

Using blockchain and digital assets carries inherent risks, including volatility, data loss, and unauthorized access. You acknowledge that you fully understand these risks and accept sole responsibility for them.

14. Indemnification

You agree to indemnify and hold TikTrix Labs and its affiliates harmless from any claims, damages, or expenses arising from your use of the Platform or breach of these Terms.

15. Governing Law and Forum Selection

These Terms are governed by the laws of Costa Rica, without regard to conflict of law principles.

16. Dispute Resolution

16.1. Mandatory Arbitration

All disputes arising out of or relating to these Terms or the use of the Platform will be resolved through binding arbitration in accordance with Costa Rican arbitration laws. By agreeing to arbitration, both you and TikTrix Labs waive the right to a jury trial or participation in class actions.

16.2. Exceptions

• Claims that may be resolved in small claims court.
• Legal action to prevent or address intellectual property infringement.

17. General Provisions

• Entire Agreement: These Terms, including any additional terms, constitute the entire agreement between you and TikTrix Labs.
• Assignment: You may not transfer or assign your rights under these Terms without our written consent. TikTrix Labs may freely assign these Terms without restriction.
• Notices: We may notify you through email or by posting on the Platform. Notices sent via email are considered received on the date sent.
• Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force.
